Amazon has signed a definitive agreement to acquire DuckLabs. The Amsterdam company employs the team behind DuckDB, the in-process analytical database. DuckLabs expects to become part of AWS in early September, subject to customary closing conditions. Financial terms were not disclosed.

Two governance commitments came with the announcement. The first is familiar. The second is not.

What Amazon Did Not Buy

AWS is explicit that it is not acquiring the open-source project itself. DuckDB stays free and open source under the MIT license. The nonprofit DuckDB Foundation continues to hold the intellectual property and steward the project.

Hannes Muhleisen and Mark Raasveldt, who created DuckDB and co-founded the company, keep leading the team and the project's technical direction. The whole team stays in Amsterdam. Work continues on DuckDB, DuckLake and Quack, the components DuckLabs calls the Duck Stack.

The Part Worth Reading Twice

Two structural changes sit further down the announcement. The DuckDB Foundation will add a technical advisory board so leading community members can weigh in on technical direction. DuckLabs also plans to open the extension stack so that extensions signed by other developers and organizations can run in DuckDB.

That second item is the one with teeth. Extension signing currently gates who can distribute trusted add-ons. Opening it hands third parties a supported distribution path rather than a fork. For a project acquired by a hyperscaler, widening that door is a stronger neutrality signal than a license promise.

Peter Boncz of CWI Amsterdam, who sits on the Foundation board, said the foundation was created when DuckLabs spun out of the research institute and will keep holding the open-source IP. He expects AWS involvement to accelerate innovation rather than slow it.

Why a Profitable Bootstrap Sold

DuckLabs founded itself just over five years ago to give the DuckDB team a stable home. Venture firms were calling at the time. The founders took a different route and stayed bootstrapped, fully owned by founders and developers, growing to more than 30 people.

The stated reason for selling is capacity, not distress. DuckDB now sees more than one million downloads every day. The founders wrote that they worried the project's growth would outpace a small company's ability to support it. They also worried that building a large sales and support organization would pull attention away from the technical work.

Their existing partnerships worked best with highly technical organizations that had their own database expertise. Reaching everyone else meant specialized problems, industry-specific needs and far more infrastructure investment. The founders argue DuckDB can grow by another couple of orders of magnitude and needed a different setup to get there.

The AWS Side

The two organizations have worked together since 2024. Andy Warfield, an Amazon vice president and distinguished engineer, said DuckDB is broadly used and well liked by S3 customers today. He described the DuckLabs team as one of the most technically deep and high-velocity groups he has worked with.

AWS says the combination will make its analytics faster, simpler and more cost-effective. Read against the S3 comment, the strategic logic is straightforward. DuckDB is already the query engine many teams point at object storage. Owning the team that builds it shortens the distance between a data lake and an answer.

Community Reaction and Outlook

George Fraser, chief executive of Fivetran, called Amazon the ideal home and pointed to DuckDB's position at the center of the vendor-neutral open data stack. Torsten Grust, who leads database systems research at the University of Tubingen, said the ability to inspect and modify DuckDB's kernel is essential for research and teaching, and welcomed the open-source commitment.

The open question is not the license. It is whether an independent foundation staffed largely by AWS employees can keep prioritizing features that do not help AWS. The technical advisory board is the mechanism that will be judged on that. Many details, the founders wrote, remain to be shaped.
